These Terms govern your access to and use of the services and GroupSetUp websites (“Service”), and any information, text, graphics, or other materials uploaded, downloaded or appearing on the Service (collectively referred to as “Content”). Your access to and use of the Service is based upon your acceptance of and compliance with these Terms.  By accessing or using the Service you agree to be bound by these Terms.

The use of this website is subject to the following terms of use:

You are responsible for your usage of the Service and also for any content that you upload or contribute to the Service.  Any contributions that you make, in whatever form, could be visible to other users, whether or not posted to a public forum.  Data will also be accessible by third party services and websites on public pages and private data where you have given permission.  You can see which services you have granted access to under “My Account”.  GroupSetUp does not take any responsibility for the maintenance of the privacy of such data.

Please remember: other parties can always retransmit any data that you share.  Consequently please only post data that you are happy to be publicly available.

Every effort is made to keep the website up and running smoothly.  However, GSU Technologies Ltd. takes no responsibility for, and will not be liable for, the website being temporarily unavailable due to technical issues beyond our control.  The Service will constantly evolve so you can expect to see changes in the form and function of the website and its features.  Whilst we undertake to continuously expand the Service it may transpire that we need to stop or remove any Service without prior notification.  We retain the right to alter, limit and amend the facilities available to you at any time and without prior notice.

Advertising may be presented to you as a condition for the provision of the Service unless you have specifically upgraded your account to exclude this.  Such advertising as is provided may be targeted with respect to the content or provision of services.  In respect of the provision of the Service by GroupSetUp and its partners, affiliates and content providers, you hereby agree to the display of advertising.

Account opening

In order to be able to access and use the Service fully, the User must subscribe via the website, providing in a registration form the following information, which is necessary for registration of their account:

-         their username;

-         a valid email address;

-         their forename and surname;

-         Other data can be supplied optionally.

An initial one time use password will be emailed to the User along with a link to automatically reset the password.  It is highly recommended that Users click on the auto reset link as this will automate their log-in and password reset process. Whilst a unique login and password is created for each User, the User must keep the latter strictly confidential.

Users need to decide how they wish to protect their privacy. Whilst it is recommended that their username, which will be shared with all Users does not include personal information or any information which could be misleading, it may be that they wish to be known by their real name. Furthermore, the username chosen must not (a) infringe copyright, a trademark or any intellectual property right belonging to others, (b) violate the privacy or other rights of a person, (c) usurp the identity of other persons or of another User (d) must not be harmful to public order or good morals or any other applicable legal clause. GroupSetUp reserves the right to amend or delete accounts whose username violates the naming policy.

Users undertake to ensure that the information communicated at the time of their registration is reliable and remains in line with reality and future updates. In the event that a User provides false, inaccurate or incomplete information, GroupSetUp shall have the right to cancel their account immediately once it becomes aware thereof.

Once the registration procedure is complete, the User will be able to access and configure their Account.

Description of the Service

GroupSetUp is a group collaboration and networking platform that allows Users to perform social networking and commerce functions. Users can consolidate & aggregate their online social interactions with certain other social networks. They can perform a range of tasks from blogging, private chat, instant message (IM), send newsletters, status updates, share files and images, etc. Professional and Enterprise Users are more likely to extend the social media management functions with applications that enable bespoke workflows to be added to the platform.

Pricing

GroupSetUp has a tiered approach to pricing, with the base Personal service being offered for ‘free’.  Users can upgrade for a fee to the Professional Service and groups wanting multiple Users can subscribe to the Enterprise Service.

Content

All Content, whether publicly or privately posted, is the sole responsibility of the person who originated such Content. We may not monitor or control the Content posted via the Service and, we cannot take responsibility for such Content. Any use or reliance on any Content or materials posted via the Service, or obtained by you through the Service, is at your own risk.

We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Service or endorse any opinions expressed via the Service. You understand that by using the Service, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabelled or are otherwise deceptive. Under no circumstances will GroupSetUp be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service or broadcast elsewhere.

Users warrant that any information they post is not contrary to any legal and/or regulatory stipulations in force, or to those of these Terms. Furthermore, it must not violate the rights of third parties, nor must it be capable of damaging the image of the Service, the "GroupSetUp" brand or the image of GSU Technologies Ltd.

Users further warrant that their content does not contain:

-         elements which violate personality rights (for example representations of a person with reference to their private life or which could damage their image rights);

-         terms, words and/or images which could violate public order, respect for human beings or their dignity or the protection of children and adolescents (e.g. pornography, paedophilia);

-         terms, words and/or images encouraging, containing or provoking discrimination, abuse, hatred or violence towards a person or a group of persons, in particular on account of their origin or their belonging or otherwise to a particular ethnicity, nation, race or religion, or on account of a handicap, their sexual orientation or any other difference;

-         terms, words and/or images encouraging the perpetration of crimes and misdemeanours such as trading in or consuming forbidden substances, prostitution, suicide, etc;

-         terms, words and/or images seeking to justify or deny war crimes and/or crimes against humanity;

-         terms, words and/or images which are injurious or defamatory towards other persons; or which could damage the image or reputation of a brand or any individual or corporate entity, in any way whatsoever.

Users are asked to show good judgement and prudence where the information they access or forward is concerned.

Users also agree to refrain from trying to mislead third parties by usurping the name or corporate name of other persons and, more specifically, by passing themselves off as employees of GSU Technologies Ltd. and GroupSetUp.

Users undertake not to synchronize into their account, or, more generally, use within the Service, Content or other data, malicious programmes which could contain viruses, Trojan horses, or worms intended to damage or interfere with the proper functioning of the Service or any application.

Users undertake to warn GroupSetUp of any unauthorised use of their Account, or of any other violation of the security thereof.

We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Service and to terminate users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or government request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of GroupSetUp, its users and the public.

Your rights

You retain your rights to any Content you submit, post or display on or through the Service. By submitting, posting or displaying Content on or through the Service in an open group, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).

You agree that this license includes the right for GroupSetUp to make such Content available to other companies, organisations or individuals who partner with GroupSetUp for the syndication, broadcast, distribution or publication of such Content on other media and services, subject to our terms and conditions for such Content use.

Such additional uses by GroupSetUp, or other companies, organisations or individuals who partner GroupSetUp, may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Service.

We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.

You are responsible for your use of the Service, for any Content you provide, and for any consequences thereof, including the use of your Content by other users and our third party partners. You understand that your Content may be rebroadcast by our partners and if you do not have the right to submit Content for such use, it may subject you to liability. GroupSetUp will not be responsible or liable for any use of your Content by GroupSetUp in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit.

You may not do any of the following while accessing or using the Service: (i) access, tamper with, or use non-public areas of the Service, GroupSetUp’s computer systems, or the technical delivery systems of GroupSetUp’s providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search the Service by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by GroupSetUp (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with GroupSetUp (NOTE: crawling the Service is permissible if done in accordance with the provisions of the robots.txt file, however, scraping the Service without the prior consent of GroupSetUp is expressly prohibited); (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Service to send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Service, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Service.

GroupSetUp rights

All right, title, and interest in and to the Service (excluding Content provided by users) are and will remain the exclusive property of GroupSetUp and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Nothing in the Terms gives you a right to use the GroupSetUp name or any of the GroupSetUp logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding GroupSetUp, or the Service is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

Copyright policy

GroupSetUp respects the intellectual property rights of others and expects users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. Cancellation of the account by the User

In order to delete an account, the User must visit the website and go to: “My Account\Edit” and then select “Delete”.  This will permanently delete any information at that point in time, however it is possible that some information will be retained in data backups of the Service.

Entire Agreement

These Terms and our Privacy Policy are the entire and exclusive agreement between GroupSetUp and you regarding the Service (excluding any services for which you have a separate agreement with GroupSetUp that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between GroupSetUp and you regarding the Service.

We may revise these Terms from time to time, the most current version will always be at GroupSetUp.com/terms. We will notify you via a status update or email to the email associated with your account. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
